Acceptance of Terms
By accessing and using the website xperiia.com or engaging Xperiia Digital AI LLP (“Xperiia”, “we”, “our”, “us”) for any service, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
These terms apply to all visitors, clients, and others who access or use our services.
Our Services
Xperiia Digital AI LLP provides digital marketing, AI solutions, brand design, web and app development, and related services as described on our website and in individual engagement proposals or contracts.
The specific scope, deliverables, timelines, and commercial terms for each client engagement are set out in a separate proposal or service agreement signed by both parties. In the event of any conflict between these general terms and a specific service agreement, the service agreement shall take precedence.
Client Obligations
To enable Xperiia to deliver services effectively, clients agree to:
- Provide accurate and complete information required for the delivery of services
- Make timely decisions and approvals as required during the project
- Provide access to platforms, accounts, and assets as reasonably required
- Pay all agreed fees on time as set out in the service agreement
- Not use our services for any unlawful or prohibited purpose
Intellectual Property
Client-owned content: Any content, data, trademarks, or intellectual property you provide to us remains your property. By sharing it with us, you grant us a licence to use it solely for the purpose of delivering agreed services.
Xperiia-created work: Upon full payment of all outstanding fees, ownership of final deliverables (such as logo designs, website code, and creative assets) transfers to the client as specified in the service agreement. Working files, methodologies, frameworks, and proprietary tools remain the property of Xperiia.
Portfolio rights: Unless otherwise agreed in writing, Xperiia reserves the right to showcase completed work in our portfolio and marketing materials.
Payment Terms
Payment terms are specified in each individual service agreement. General conditions include:
- Invoices are due within the number of days specified in the service agreement from the invoice date
- Late payments may result in suspension of services and/or interest charges as applicable under Indian law
- All fees are exclusive of applicable taxes (GST) unless otherwise stated
- Retainer fees are billed in advance; project fees may be billed in milestones
Limitation of Liability
Xperiia Digital AI LLP provides services on a best-efforts basis. While we are committed to delivering high-quality work and measurable results, we do not guarantee specific business outcomes such as revenue targets, lead volumes, or search rankings, as these depend on factors outside our control.
To the fullest extent permitted by applicable law, Xperiia shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to our services. Our total liability in any circumstance shall not exceed the total fees paid by you for the service giving rise to the claim in the preceding three months.
Termination
Either party may terminate a service engagement in accordance with the notice period specified in the service agreement. Upon termination:
- All outstanding invoices become immediately payable
- Xperiia will provide all completed work to the client up to the termination date
- Access to client accounts, platforms, and assets will be transferred back promptly
Xperiia reserves the right to terminate services immediately in the event of non-payment, breach of these terms, or conduct that is unlawful or harmful.
Governing Law
These terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in India.
We encourage resolution of disputes through direct discussion before any formal proceedings.
